PlantStacks — End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is between PlantStacks, LLC, a North Carolina limited liability company ("we", "us"), and the person or entity installing or using the PlantStacks software ("you"). It governs the software; commercial terms are in the Terms of Service. By installing, copying, or using the software you accept this EULA.
1. License grant
Subject to your active subscription and a valid license, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the software on your own hardware for your internal business purposes, for the number of users (seats) and the features your license permits.
2. License enforcement (offline)
The software is enabled by a cryptographically signed license that is verified offline on your installation (no phone-home). The license sets the maximum features and seats available. Expiry does not delete data: after any grace period, optional features deactivate until the license is renewed, while the core, login, and your data remain available.
3. Restrictions
You must not, except to the extent permitted by law or expressly allowed: (a) resell, rent, sublicense, or distribute the software or licenses to third parties; (b) circumvent, tamper with, forge, share, or reverse engineer the licensing or signing mechanism, or the keys, or attempt to enable features or seats beyond your license; (c) remove or alter any proprietary notices; (d) use the software to build a competing product, or copy its non-trivial expression; (e) exceed your seat limit or use a single license across unrelated organizations.
4. Ownership
The software is licensed, not sold. All right, title, and interest in the software and its IP remain with us and our licensors. Open-source components (if any) are governed by their own licenses, which this EULA does not override.
5. Modules and updates
Optional modules are part of the software and covered by this EULA when enabled. Updates we provide are also covered; we may change or discontinue features, with reasonable notice for material changes.
6. Your data and security
You are solely responsible for your installation: its hosting, network exposure, configuration, access control, backups, and the lawfulness of the data you process. The software provides security features (TLS, RBAC, MFA, audit logging) but you must configure and operate them.
7. U.S. government end users
The software is "commercial computer software." Government users acquire only the rights granted to all other end users under this EULA.
8. Term and termination
This EULA applies for as long as you use the software. It terminates automatically if you breach it or your subscription ends. On termination you must stop using licensed features; you may retain your own data (it resides on your hardware).
9. Warranty, liability, law
The warranty disclaimers, limitations of liability, governing law (State of North Carolina), and dispute-resolution/arbitration terms in the Terms of Service apply equally to this EULA and are incorporated by reference.
